1. Acceptance and Scope

These Terms of Use govern access to and use of the SteadyEdge Platform website, dashboard, APIs, trading automation tools, backtesting tools, support channels, and related services.

SteadyEdge Platform is the product and trade name operated by Individual entrepreneur Ruslan Serhiiovych Ovcharenko (RNOKPP/tax number 3482609212), Ukraine. The Operator is the contracting party for the Services unless a separate written agreement expressly identifies another party.

By visiting the website, creating an account, connecting an exchange, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.

2. Eligibility and Account Responsibilities

You must be at least 18 years old and legally permitted to use the Services in your jurisdiction. You are responsible for providing accurate registration information and keeping it current.

You are responsible for maintaining the confidentiality of your login credentials, API credentials, devices, and any activity that takes place under your account. If you believe your account or exchange credentials were compromised, you must notify us without undue delay.

3. Platform Nature; No Brokerage or Investment Advice

SteadyEdge Platform provides software tools that help you configure, automate, monitor, and analyse trading activity. We are not your broker, custodian, exchange, investment adviser, portfolio manager, tax adviser, or fiduciary.

All trading decisions, parameter choices, leverage settings, asset selections, and risk tolerances are made by you. Backtests, analytics, templates, examples, and educational materials are informational only and do not guarantee future results.

4. Exchange Connectivity and API Credentials

You may connect third-party exchange accounts to the Services. You must use only API credentials that you are authorised to use and that comply with the relevant exchange rules.

We strongly recommend using trade-only API permissions with withdrawals disabled. We do not take custody of your assets, and your funds remain with your exchange or other third-party provider.

We encrypt stored exchange API secrets at rest, but you remain responsible for the permissions you grant, the exchanges you choose, and the consequences of activity initiated through your account or connected integrations.

5. Acceptable Use and Compliance

You must comply with applicable laws, regulations, sanctions, export controls, tax obligations, and the terms of the exchanges and service providers you use with the Platform.

You must not misuse the Services, including by attempting unauthorised access, reverse engineering, interfering with availability or security, scraping data at an abusive rate, bypassing technical limits, impersonating others, using the Services for unlawful conduct, or uploading harmful code.

6. Fees, Subscriptions, Billing, and Refunds

Prices, subscription plans, trial offers, usage limits, and billing cycles are shown in the Services, at checkout, or in a separate order form. Taxes, blockchain fees, provider charges, and exchange-rate fluctuations may apply depending on the payment method you choose.

Payments are currently processed as cryptocurrency payments through third parties such as NOWPayments and other crypto payment infrastructure providers. Those providers may apply their own terms, network rules, fees, and compliance checks.

Unless mandatory law requires otherwise or we expressly commit to a refund in writing, digital subscriptions, balance top-ups, and completed service charges are non-refundable. When we clearly offer prorated credits or balance adjustments, those remedies are limited to the scope described in the relevant product flow or policy.

7. Third-Party Services

The Services depend on third-party platforms and providers, including exchanges, identity providers such as Google, messaging services such as Telegram, email providers such as Mailjet, analytics providers such as Google Analytics, hosting infrastructure, and payment providers.

We do not control and are not responsible for third-party outages, policy changes, fees, trading halts, delistings, data inaccuracies, account restrictions, or other actions taken by those providers. Your use of third-party services is also governed by their terms and policies.

8. Intellectual Property and Licence

The Services, including software, designs, interfaces, trademarks, content, and documentation, are owned by the Operator, doing business through the SteadyEdge Platform trade name, or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for your own lawful internal purposes. You may not copy, resell, sublicense, distribute, or create derivative services from the Platform except as expressly permitted by law or by our written consent.

9. Risk Disclosure and Service Disclaimer

Cryptocurrency and other digital-asset markets are volatile and risky. Automated execution can amplify gains and losses, and exchange outages, latency, liquidation events, pricing errors, and market gaps can occur without warning.

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, security, and profitable performance.

10. Suspension, Termination, and Account Closure

We may suspend, restrict, or terminate access to the Services if we reasonably believe this is necessary to protect the Platform, comply with law, investigate abuse, address sanctions or fraud risks, respond to security incidents, or enforce these Terms.

You may stop using the Services at any time. We may retain certain records after closure where necessary for security, fraud prevention, accounting, dispute resolution, backup integrity, or legal compliance.

11. Limitation of Liability and Indemnity

To the fullest extent permitted by law, the Operator and its contractors, service providers, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or digital assets.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of the amount you paid us for the Services during the 12 months before the claim arose or USD 100 if you paid nothing.

You agree to indemnify and hold harmless the Operator from claims, losses, liabilities, costs, and expenses arising from your misuse of the Services, your breach of these Terms, or your violation of applicable law or third-party rights.

12. Changes, Governing Law, and Contact

We may update these Terms from time to time to reflect product changes, legal requirements, or operational needs. The updated version becomes effective when posted, or on a later date stated in the notice. Continued use of the Services after the effective date means you accept the updated Terms.

Unless mandatory law requires otherwise, these Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. For questions about these Terms, contact legal [at] steadyedge.net.
